Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Vynex, provided by Vynex Agency (“we”, “us”, “our”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Vynex is a CRM platform that connects to the official WhatsApp Business Platform (Meta’s Cloud API) to help businesses manage conversations, contacts, sales pipelines, broadcasts, and automations. The Service depends on third-party platforms (including Meta and WhatsApp) whose availability and terms are outside our control.

2. Eligibility & accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your account information and for keeping your credentials secure.
  • You are responsible for all activity under your account and your team members’ accounts.

3. WhatsApp & Meta compliance (your responsibilities)

Because the Service sends messages through the WhatsApp Business Platform, you agree that your use will comply with all applicable Meta and WhatsApp policies, including the WhatsApp Business Messaging Policy and WhatsApp Business Terms of Service. In particular, you agree to:

  • Obtain valid opt-in consent from recipients before messaging them, and honor opt-out requests promptly.
  • Only send content permitted by WhatsApp and applicable law — no spam, harassment, illegal goods, or prohibited industries.
  • Use approved message templates where required and not attempt to evade messaging limits or quality controls.
  • Maintain your own lawful basis for processing your customers’ personal data.

You are the controller of the customer data you process through the Service; we act as your processor as described in our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful, deceptive, or harmful purposes, or to send unsolicited bulk messages that violate anti-spam laws.
  • Reverse engineer, resell, or attempt to gain unauthorized access to the Service or its underlying systems.
  • Interfere with or disrupt the integrity or performance of the Service, or circumvent any security or rate-limiting measures.
  • Upload malware or infringe the intellectual-property or privacy rights of others.

We may suspend or terminate accounts that violate these Terms or that expose us to risk with Meta or WhatsApp.

5. Your content & data

You retain all rights to the data and content you submit to the Service (“Your Content”). You grant us a limited license to host and process Your Content solely to provide and improve the Service. You are responsible for the legality of Your Content and your messaging.

6. Third-party services

The Service integrates with third parties such as Meta / WhatsApp, Supabase, and optional AI providers you choose to enable with your own keys. Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.

7. Fees

Fees, if any, will be described at sign-up or in a separate order. WhatsApp / Meta may charge you separately for conversations or messages under their own pricing; those charges are your responsibility.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that messages will always be delivered, as delivery depends on Meta / WhatsApp.

9. Limitation of liability

To the maximum extent permitted by law, Vynex Agency will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the 12 months preceding the claim (or USD 100 if you paid nothing).

10. Indemnification

You agree to indemnify and hold Vynex Agency harmless from claims, damages, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or any Meta / WhatsApp policy or applicable law.

11. Termination

You may stop using the Service at any time and delete your account. We may suspend or terminate your access if you breach these Terms or to comply with law or platform requirements. On termination, your data is handled as described in our Privacy Policy and Data Deletion instructions.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance.
